This agreement is between Just Staging, 3D visualization company, (hereafter referred to as JS, “we” or “us”) and a specified business or individual (hereafter referred to as Client or “you”). The relationship between JS and the Client is regulated by the following Terms and Conditions.
General Working Agreement
This document defines the Terms and Conditions of JS-Client cooperation. All services that JS may be contracted to produce or provide for the Client will be subject to the following:
Summary
JS will always strive to fulfill Client’s needs, meet their goals, and reach a satisfactory outcome, but it is always best to have certain key ideas or a general outline written down (a “Working Agreement”) so that both parties understand each other’s expectations. In other words, which party is responsible for particular cooperation aspects, processes, and functions and what happens if things do not go quite as expected. JS is not interested in utilizing confusing, complicated legal terms or long passages of unreadable text in this contract. Our company wants what is best for the comprehensive satisfaction of the parties at every stage of the cooperation process, both now and in the future. In short, deception or tricky language does not make for mutually beneficial working agreements and may only lead to later regrets and unhappy clients.
What We Do for You
You are hiring us either for the creation or manipulation of images for an agreed price in accordance with our fees and charges.
What Do Both Parties Agree To?
If JS is designing content for you, we will do it to the best of our skills and expertise based on the requirements you set us at the commencement of the project. If you are not happy with the result at any stage, you may request a re-work of the project which can be granted at our discretion. You agree to provide as much information at the start of our cooperation as it is necessary to complete the project to your specifications. In general, greater information sharing, communication, and constructive discussion allow for proper planning and help prevent poor performance.
Let us Get Down to the Details…
Design or Content Creation
If we are creating/designing content for you, our professionals will do our best to stick to the look-and-feel, layout, and functionality that you describe to us at the beginning of the project. You agree that the changes you wish to make arising out of the information or detail that has not been provided by you at the commencement of the project are to be regarded as “un-foreseeable” and can incur extra charges in order to complete a project to your new or altered specifications.
Editing
JS will modify the content supplied by the Client to suit the category chosen by them, or in accordance with the written requests they have made prior to the start of a project. If the requests fall outside what JS is able to deliver at the set price, the Client may incur extra charges in order to complete those requests. If we cannot complete a project for you due to an unforeseen event or a complication of events (disasters such as a hurricane, flood, etc.), we agree to refund the money you have already paid for JS services within a reasonable time frame.
The “legalese”
JS cannot guarantee that the content we provide to you as a final product (graphic data, text, or any other kind) will not be viewed as misleading or false from another person(s)’ or company(s)’ perspective and so we cannot be liable to you or any third party for damages, including lost profits, lost savings, lost prestige or other incidental, consequential, or special damages arising out of the provision of our service.
You also agree that JS cannot be aware of how the final product we provide (graphic data, text, or any other kind) is going to be used and we are thus not to be held liable to you or any third party for damages, including lost profits, lost savings, lost prestige or other incidental, consequential or special damages arising out of how you have chosen to use the output data.
If any provision of this agreement shall be unlawful, void, or for any reason unenforceable (under the laws of the USA), then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any and all of the remaining provisions.
Ok, We Are Glad We Have Got that Clarified!
Copyrights
You guarantee us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion into the final product are either owned by yourselves or used with the permission of the respective owners.
When you pay for a project, copyright is automatically assigned as follows:
But What about the Inevitable Fine Print?
If for some reason one part of these Terms becomes invalid or unenforceable, the remaining parts of it remain in place. We will update them when we consider it necessary. This agreement is made under the laws of the USA.
Importantly, although the language is simple, the intentions are serious under the exclusive jurisdiction of the courts of the USA.
When commencing a project with Just Staging, 3D visualization company, the Client automatically accepts these Terms and Conditions.
